Gaga Us Construction – Terms and Conditions

1. Introduction and Acceptance

Welcome to Gaga Us Construction (“Company,” “we,” “us,” “our”). These Terms and Conditions (“Terms”) govern the provision of all construction, remodeling, and related services (“Services”) to our clients (“Client,” “you,” “your”). By engaging our Services, you agree to be bound by these Terms, which, together with a signed Project Proposal or Contract (“Agreement”), form a legally binding contract between you and Gaga Us Construction. Please read them carefully.

2. Scope of Services

The specific scope of work, materials, timeline, and pricing for any project will be detailed in a written Agreement, which must be signed by both the Client and an authorized representative of Gaga Us Construction before any work commences. Our Services generally include, but are not limited to, residential and commercial construction, renovation, remodeling, additions, and repairs.

3. Proposals and Estimates

All proposals and estimates are provided based on the information and site conditions known at the time of quotation.

  • Validity: Estimates are valid for thirty (30) days from the date of issue unless otherwise stated.
  • Not a Contract: An estimate does not constitute a binding contract. A formal Agreement must be executed to engage our Services.
  • Assumptions: Estimates are based on visible conditions and do not cover unforeseen issues such as hidden structural defects, asbestos, mold, outdated wiring/plumbing, or other problems that are not reasonably discoverable without demolition or invasive inspection.

4. Contracts and Change Orders

  • Written Agreement: All projects will be governed by a detailed written Agreement outlining the full scope of work, payment schedule, materials, and project timeline.
  • Change Orders: Any deviation from the scope of work defined in the signed Agreement must be documented in a “Change Order.” All Change Orders must be in writing and signed by both the Client and the Company. Change Orders will typically result in adjustments to the contract price and project schedule. The Company is not obligated to perform any additional or altered work without a signed Change Order.

5. Payment Terms

  • Deposit: A non-refundable deposit is required to secure a project start date and for the initial procurement of materials. The specific deposit amount will be stated in the Agreement.
  • Payment Schedule: A schedule of progress payments will be outlined in the Agreement, typically tied to the achievement of specific project milestones (e.g., completion of framing, drywall, etc.).
  • Final Payment: The final balance is due upon “Substantial Completion” of the project, which is defined as the point at which the project is fit for its intended use.
  • Late Payments: Payments not received within seven (7) days of the due date are subject to a late fee of 1.5% per month (18% per annum) on the outstanding balance, or the maximum rate permitted by California law, whichever is less.
  • Suspension of Work: The Company reserves the right to suspend all work on the project if any payment is more than ten (10) days overdue.

6. Client Responsibilities

The Client agrees to:

  • Provide clear, safe, and continuous access to the property for Company employees, subcontractors, and suppliers during working hours (typically 7:30 AM to 5:00 PM, Monday-Friday, unless otherwise agreed).
  • Make timely decisions regarding materials, finishes, and other project elements to avoid delays.
  • Secure or remove all pets and personal property from the work area.
  • Obtain any necessary approvals from Homeowners Associations (HOAs) or other governing bodies.
  • Inform the Company of any known pre-existing conditions that may affect the project.

7. Permits, Licenses, and Compliance

Gaga Us Construction is a licensed and insured contractor in the State of California.

  • Building Permits: The Company will be responsible for obtaining all necessary building permits required for the scope of work defined in the Agreement. The costs associated with these permits will be billed to the Client.
  • Compliance: All work will be performed in compliance with applicable building codes of the City of Los Angeles, Los Angeles County, and the State of California. The Company is not responsible for any pre-existing code violations on the property that are outside the scope of our contracted work.

8. Project Timeline and Delays

  • Estimated Timeline: The Agreement will provide an estimated start and completion date. This timeline is an estimate and not a guarantee.
  • Excusable Delays: The Company is not liable for delays caused by factors beyond its reasonable control, including but not limited to: weather, acts of God, supply chain disruptions, Client-requested changes, discovery of unforeseen site conditions, delays in Client decisions or payments, or delays caused by government inspections. Any such delays may result in an extension of the project timeline.

9. Materials and Workmanship Warranty

  • Workmanship: We warrant that all labor will be performed in a professional, workmanlike manner according to standard industry practices for a period of one (1) year from the date of Substantial Completion.
  • Materials: Materials and equipment supplied by the Company will be new and as specified in the Agreement. All manufacturer warranties for materials and appliances will be passed directly to the Client.
  • Exclusions: This warranty does not cover: (a) damage or defects caused by abuse, misuse, normal wear and tear, or lack of proper maintenance; (b) issues resulting from pre-existing conditions of the property; (c) damage from natural causes such as floods, earthquakes, or fires; (d) minor cosmetic issues such as paint scuffs or shrinkage/cracking in drywall or wood due to natural settling.

10. Insurance and Limitation of Liability

  • Insurance: Gaga Us Construction maintains Commercial General Liability insurance and Worker’s Compensation insurance as required by California law. A certificate of insurance can be provided upon request.
  • Client’s Insurance: The Client is responsible for maintaining property insurance for the full value of the property, including the work being performed.
  • Limitation of Liability: In no event shall Gaga Us Construction’s liability for any claim, damage, or loss arising from our Services exceed the total amount paid by the Client to the Company under the specific Agreement in question.

11. Dispute Resolution

Should any dispute arise between the Client and the Company, both parties agree to first attempt to resolve it through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, the parties agree to submit the dispute to mediation with a neutral third-party mediator in Los Angeles County, CA. If mediation fails, the dispute shall be resolved through binding arbitration or litigation in the courts of Los Angeles County, California.

12. Photography and Marketing

The Client grants Gaga Us Construction the right to take photographs and videos of the project (before, during, and after completion) for use in our portfolio, website, social media, and other marketing materials, while making reasonable efforts to protect the Client’s privacy.

13. Termination

  • For Cause by Company: The Company may terminate the Agreement for cause if the Client fails to make payments as required, causes unreasonable work stoppages, or otherwise materially breaches the Agreement.
  • For Cause by Client: The Client may terminate the Agreement for cause if the Company fails to perform the work in a timely and workmanlike manner or materially breaches the Agreement.
  • Effect of Termination: If the Agreement is terminated, the Client shall be responsible for payment for all work completed, materials purchased, and any other costs incurred by the Company up to the date of termination.

14. Governing Law

These Terms and any Agreement between the parties shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. The venue for any legal action shall be in Los Angeles County, California.

15. Entire Agreement & Severability

These Terms, together with the signed Agreement, constitute the entire agreement between the Client and Gaga Us Construction. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
